Terms of Use & EULA

Zophous.ai (“Zophous.ai,” “we,” or “us”) grants you (“You” or “User”) a non-exclusive, non-transferable, revocable license to install and use the Zophous.ai application (“Licensed Software”) on your devices, subject to the Usage Rules of the App Store and Google Play Stores.

You may install and use the Licensed Software on devices you own or control. This license does not permit: any resale, rental, lease, or distribution of the Licensed Software; reverse engineering, decompilation, or disassembly; modification, adaptation, or creation of derivative works.

All title, ownership rights, and intellectual property rights in the Licensed Software and any accompanying materials remain with Zophous.ai and its licensors. You agree not to remove any proprietary notices.

We may provide updates, upgrades, patches, or other modifications (“Updates”) to improve functionality or fix defects. Updates are subject to this EULA unless accompanied by separate terms.

By using the Licensed Software, you consent to our collection of diagnostic and usage data in accordance with our Privacy Policy. We use such data to improve features and performance.

This EULA is effective until terminated. We may terminate it immediately if you breach any term. Upon termination, you must cease all use and delete all copies of the Licensed Software.

THE LICENSED SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOPHOUS.AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE LICENSED SOFTWARE OR THIS AGREEMENT.

This EULA is governed by the laws of the State of Texas, U.S.A., without regard to conflict-of-law principles.

By accessing or using any Zophous.ai services (the “Services”), you agree to these Terms of Service and our Privacy Policy.

“Services” – all web, mobile, and API offerings under Zophous.ai. “User Content” – any videos, transcripts, captions, or other materials you upload or submit for processing, including content you provide via third-party links (e.g., YouTube URLs). “Output” – clips, captions, and analytics generated by our AI.

You must be 18+ (or of legal age in your jurisdiction) and capable of forming binding contracts. Use by anyone previously suspended or removed is prohibited.

You may register using an email and password, or by signing in with a supported third-party identity provider (currently Google). If you use a third-party sign-in, that provider's terms and privacy policy also apply to your use of their sign-in service. You are responsible for maintaining confidentiality of your login credentials and all activities under your account. Notify us immediately of unauthorized use.

We offer plans across three lanes — Creator (long-form clips), Influencer (short-form variations), and Suite (both) — each with tiers billed monthly or annually:

New accounts start with a free trial of 30 clip credits at signup, with no payment method required. Trial credits do not expire on a fixed schedule — the trial ends when the credits are used or when you subscribe to a paid plan, whichever comes first. Trial accounts have reduced feature access compared to paid plans (for example, top-up credit purchases are unavailable until you subscribe). We may change the number of trial credits offered, or discontinue the free trial, at any time without notice; changes will not reduce credits already granted to your account. The free trial is limited to one per person or organization; we may deny or revoke trial credits where we detect abuse, including creating multiple accounts to obtain additional trials.

You retain ownership of your User Content. By uploading or submitting it, you grant Zophous.ai a worldwide, royalty-free license to host, process, display, and analyze it to provide Services, improve models, and for security purposes.

You represent and warrant that you own, or have obtained all rights, licenses, consents, and permissions necessary for, the content you upload or submit for processing (including content provided via third-party links such as YouTube URLs), and that your content and your use of the Output do not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party. You are solely responsible for ensuring you have the right to clip, edit, publish, and monetize any material you process through the Services. Zophous.ai grants you no rights in third-party content and does not review content for rights clearance.

You agree not to: violate laws or infringe IP rights; upload, submit, or process content you do not own or lack permission to use; use the Services to reproduce, distribute, or monetize third-party content without authorization; use automated means to access Services; transmit malware or spam; or attempt to reverse engineer our AI.

Zophous.ai respects intellectual property rights and responds to valid notices under the Digital Millennium Copyright Act (DMCA); see our DMCA Policy to submit a notice or counter-notice. In appropriate circumstances we will disable or terminate the accounts of users who are repeat infringers.

You agree to indemnify, defend, and hold harmless Zophous.ai and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Services or Output, or your violation of these Terms or any third-party rights.

We may suspend or terminate accounts for violations or inactivity. Upon termination, licenses granted here end and you must delete all downloaded materials.

Services are provided “as is.” We disclaim warranties to the fullest extent and limit liability for service interruptions, data loss, or other damages.

We may modify these Terms; material changes notified via email or dashboard. Continued use constitutes acceptance.

These Terms are governed by Texas law. Disputes resolved via binding arbitration in Houston, TX, except small-claims matters.
